1. Acceptance of Terms

By purchasing, accessing, or using any of our Programs, Products, Services, or Program Materials, you:

• agree to be legally bound by these Terms
• acknowledge that you have read and understood them
• accept all provisions, including limitations of liability and dispute resolution

If you do not agree, you must not use our Services.

2. Definitions

• Programs, Products, Services: All offerings, including digital downloads, frameworks, training programs, consulting services, subscriptions, and future offerings
• Program Materials: All content provided, including but not limited to:
  • videos, recordings, and webinars
  • slides, presentations, and documents
  • templates, worksheets, and tools
  • frameworks, methodologies, models, and systems (including the Transition Performance System (TPS), The Huddle Pros 6-Pack, The Huddle 5, The Huddle Focus, The Huddle 360)
  • course platforms, portals, and community content
  • any downloadable or proprietary materials
• User / You: Any individual or entity accessing or using our Services

3. Eligibility

You must be at least 18 years old to access or use our Services.

By using our Services, you represent and warrant that:

• you meet this requirement
• you have the legal capacity to enter into this agreement

4. Use of Services and Consent

By accessing or purchasing our Programs, Products, or Services, you agree to:

• comply with these Terms
• comply with our Privacy Policy, Disclaimer, and Terms of Service
• use our Services only for lawful purposes

Your use constitutes full acceptance of all applicable policies.

5. Intellectual Property Rights (STRICT PROTECTION)

All Programs, Products, Services, and Program Materials are the exclusive property of The Huddle Pros LLC or its licensors.

This includes, without limitation:

• the Transition Performance System (TPS)
• The Huddle Pros 6-Pack (THP 6-Pack)
• The Huddle 5, The Huddle Focus, The Huddle 360
• all frameworks, methodologies, and proprietary models
• all content, structure, and materials

All rights are reserved.

5.2 Limited License

You are granted a:

• limited
• non-exclusive
• non-transferable
• revocable

license for personal, non-commercial use only.

This license does not grant ownership or any intellectual property rights.

5.3 Strict Prohibited Uses

You are expressly prohibited from:

• copying, reproducing, or duplicating Program Materials
• sharing access credentials or login information
• distributing, reselling, sublicensing, or transferring materials
• uploading or sharing materials on external platforms
• creating derivative works based on our content
• using Program Materials to train, coach, or consult others
• incorporating our materials into your own products or services
• presenting any part of our content as your own

5.4 Corporate and Team Use Restriction

Your purchase grants access only to you as an individual.

You may NOT:

• share materials within your organization
• use them for internal training
• provide access to employees, colleagues, or teams

Unless:

• a separate license or written permission is granted

5.5 Confidentiality and Proprietary Information

You acknowledge that our Programs, Products, Services, and Program Materials contain:

• proprietary
• confidential
• commercially valuable information

You agree not to:

• disclose such information
• use it beyond the scope of your license
• exploit it for competitive or commercial advantage

5.6 Unauthorized Use and Enforcement

Unauthorized use of our intellectual property:

• constitutes infringement
• may be treated as theft

We reserve the right to:

• immediately terminate access
• pursue civil claims for damages
• seek injunctive relief
• recover legal fees and enforcement costs

6. User Accounts and Access

You are responsible for:

• maintaining the confidentiality of your account
• all activities under your account

You may not:

• share login credentials
• allow others to access your account
• distribute downloaded materials

Violation may result in immediate termination.

7. User Contributions and License to Us

If you submit content (comments, posts, media), you grant us a:

• worldwide
• perpetual
• irrevocable
• royalty-free license

to use, reproduce, modify, and distribute such content.

You confirm:

• you own the rights to your submissions
• you are authorized to grant this license

8. Media Release

By participating in our Programs or Services, you consent to:

• photographs
• audio/video recordings
• use of your likeness

for marketing and promotional purposes, without compensation.
